1. Acceptance of Terms

By accessing or using any services provided by Novaica LLC ("Novaica," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services. These Terms apply to all clients, visitors, and users of our services.

2. Services

Novaica provides digital marketing and software services to contractors and home service businesses, including but not limited to:

• Custom website design and development (20+ page websites)
• Local SEO setup and optimization
• Google Business Profile management
• CRM and pipeline tracking software access
• Missed call text back automation
• Review funnel automation
• Email and SMS marketing campaigns
• Reactivation and follow-up automations
• Logo and brand identity design
• Hosting, SSL, and domain management

Services are delivered as described at the time of purchase. Novaica reserves the right to modify, update, or discontinue features with reasonable notice.

3. Payment & Billing

Our standard monthly subscription is $297/month, billed monthly in advance. By providing payment information, you authorize Novaica to charge your payment method on a recurring monthly basis.

• Payments are due on the same day each month as your start date
• All fees are non-refundable unless otherwise stated in writing
• Failed payments may result in service suspension after 7 days
• Prices are subject to change with 30 days written notice

There are no setup fees, hidden fees, or long-term contracts required.

4. Cancellation Policy

You may cancel your subscription at any time by contacting us at [email protected] or calling 631-652-9973.

• Cancellations take effect at the end of your current billing period
• No partial refunds are issued for unused portions of a billing period
• Upon cancellation, you will lose access to the website, CRM, automations, and all managed services
• You may export your contact data at any time before cancellation

5. Intellectual Property

All website designs, copy, graphics, automations, and systems created by Novaica remain the intellectual property of Novaica LLC while your subscription is active. Upon cancellation, your right to use these assets terminates.

Content you provide to us (photos, business information, testimonials) remains your property. You grant Novaica a license to use such content solely to provide our services.

You may not copy, reproduce, or resell any Novaica-created materials without express written permission.

6. Acceptable Use

You agree not to use our services to:

• Send spam, unsolicited messages, or deceptive communications
• Violate any applicable laws or regulations
• Infringe on the rights of third parties
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Use our platform for any illegal business activities

Violation of this section may result in immediate termination of your account without refund.

7. Disclaimers

Our services are provided "as is" without warranties of any kind, either express or implied. Novaica does not guarantee:

• Specific search engine rankings or SEO results
• A specific number of leads or calls per month
• Uninterrupted or error-free service
• That our services will meet all your specific business requirements

Results vary by market, competition, business type, and other factors outside our control.

8. Limitation of Liability

To the maximum extent permitted by law, Novaica LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of our services.

Our total liability to you for any claim arising from these Terms or our services shall not exceed the total amount paid by you in the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Novaica LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of New York.

11. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by email or by posting a notice on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
